Terms of Service

1. Provider and agreement

Spendly is operated by Denis Efremov, a self-employed service provider established in Portugal. By creating an account or using a non-public Spendly workspace, you confirm that you have authority to bind the business you represent and agree to these Terms.

2. Business use only

Spendly is offered for professional and business purposes, not for personal consumer use. You must be at least 18 years old and legally able to enter into this agreement.

3. Accounts and workspace administration

• You must provide accurate account information and protect login credentials.
• The workspace owner controls invitations, roles, connected providers, projects, and data made available to workspace members.
• You are responsible for activity performed through your account unless you promptly report unauthorised access.
• You must ensure that your employees and contractors are lawfully informed about data entered into Spendly.

4. The service

Spendly collects or imports provider usage information, normalises provider-specific units, estimates monetary costs, and presents budgets, alerts, reports, and recommendations. Provider data can be incomplete, delayed, estimated, or changed by the provider. Spendly is a management aid and is not accounting, tax, legal, or investment advice.

5. Provider credentials and third-party services

You authorise Spendly to use credentials you provide solely to perform requested integrations. Use read-only or least-privilege credentials whenever available. Connected AI providers, Google, Stripe, PayPal, and other third-party services have their own terms and availability; Spendly is not responsible for their independent acts or outages.

6. Trial, subscriptions, and payment

• Any trial duration, price, billing interval, taxes, and included features will be shown before checkout.
• A paid subscription renews automatically until cancelled unless the checkout states otherwise.
• You may cancel future renewals through the billing portal or by contacting support. Cancellation takes effect at the end of the paid period unless stated otherwise.
• Fees already charged are non-refundable except where required by law or where Spendly explicitly agrees otherwise.
• Access may become read-only or limited after a trial expires, payment fails, or a subscription ends.

7. Acceptable use

You must not:

• use Spendly unlawfully or to violate another person's rights;
• upload malware, probe security, bypass access controls, or interfere with service operation;
• access data outside your authorised workspace or share another organisation's credentials;
• resell, copy, reverse engineer, or scrape the service except where mandatory law permits;
• use the service to process special-category or highly sensitive personal data unless expressly agreed in writing.

8. Customer data and intellectual property

You retain rights in data you provide. You grant Spendly the limited right to host, process, transmit, and display that data only as needed to provide, secure, and support the service. Spendly and its software, design, branding, and documentation remain the operator's property.

9. Confidentiality and data protection

Each party will use reasonable care to protect the other party's confidential information. Personal data is handled as described in the Privacy Policy. Business customers remain responsible for lawful instructions and notices concerning employee or contractor data entered into Spendly.

10. Availability and warranties

Spendly is provided on a commercially reasonable-efforts basis. Features may change and maintenance or third-party failures may cause interruptions. To the maximum extent permitted by law, no guarantee is made that the service will be uninterrupted, error-free, or that every provider cost estimate will match a final invoice.

11. Liability

Nothing in these Terms excludes liability that cannot legally be excluded. To the maximum extent permitted by law, Spendly is not liable for indirect, incidental, special, punitive, or consequential loss, loss of profit, revenue, goodwill, or data. Aggregate liability arising from the service is limited to the fees paid for Spendly during the twelve months preceding the event giving rise to the claim.

12. Suspension and termination

Access may be suspended for security risks, unlawful use, material breach, or non-payment. You may stop using Spendly and request account closure. Data will be deleted or anonymised according to the Privacy Policy, subject to legal retention and backup cycles.

13. Changes, law, and contact

Material changes will be communicated before they take effect where reasonably possible. These Terms are governed by Portuguese law. The courts of Portugal have jurisdiction, subject to any mandatory rule that cannot be varied by contract. Questions may be sent to mail [at] denisefremov.com.
